These terms apply to your use of avssetuglobal.com and to quotations, orders and supplier listings with AVS Setu Global (“we”, “us”, “our”). By using the website or placing an order you agree to these terms. Where a written quotation or purchase order states different terms, that document will prevail for that order.

1. Website information

• Product information, specifications and minimum order quantities (MOQ) are for general guidance and may vary by brand, batch and availability.
• Images are illustrative and may not show the exact product supplied.
• Nothing on the website is a binding offer. Prices are given only through a written quotation.
• Brand and product names belong to their respective owners. Their mention does not imply that we are an authorised dealer or affiliated with them, unless we state so in writing.

2. Quotations and prices

• Each quotation states its price, validity period, delivery terms and payment terms. Prices are subject to stock availability at the time of order confirmation.
• Each quotation is valid for the period stated on it; if no period is stated, it is valid for 7 days.
• Unless stated otherwise, prices are exclusive of GST and freight. GST is charged as applicable and a GST invoice is issued.
• Free delivery within Delhi NCR applies to orders above ₹1,00,000 (before tax) unless the quotation says otherwise. Other deliveries are charged at actual freight cost.

3. Orders, payment and cancellation

• An order is confirmed only when we accept your purchase order or written confirmation and the payment terms in the quotation are met.
• Payment terms: 100% advance for first and customised orders. For confirmed larger orders, 70% advance and the balance 30% before dispatch. Any different terms must be agreed in writing in the quotation.
• Payment is by bank transfer (NEFT / RTGS / IMPS / UPI) to our company account only. We never ask for payment to a personal account.
• Overdue amounts on any agreed credit may attract interest at 18% per annum from the due date.
• Cancellation: standard (non-customised) orders may be cancelled before dispatch; any non-refundable costs already incurred (such as supplier cancellation charges or freight booked) will be deducted. Customised, cut-to-size or specially procured items cannot be cancelled once procurement has started.
• Refunds: approved refunds are paid to the original paying account within 7 working days of approval.
• Ownership of the goods passes to you only after full payment has been received.

4. Delivery

• Delivery timelines are estimates and depend on the manufacturer, transport and location. We will keep you informed of any delay.
• Ply, MDF and Rockwool are supplied within Delhi NCR only. Other categories are supplied across India unless stated otherwise.
• For domestic orders, risk in the goods passes to you on delivery at the agreed address. For export orders, risk and responsibilities pass as per the agreed Incoterm under Incoterms® 2020 (for example EXW, FOB, CIF, DAP or DDP).

5. Inspection, damage and returns

• Please inspect goods at the time of delivery. Note any visible damage or shortage on the delivery document and inform us within 48 hours with photos.
• We will replace or credit goods that are defective, damaged in transit or different from the confirmed order, after verification.
• Goods are not returnable for change of mind. Customised and cut-to-size items are non-returnable except for manufacturing defects.
• Manufacturer warranties, where available, are passed on to you, and warranty claims are handled as per the manufacturer’s terms.

6. Export orders

Unless agreed otherwise (for example under DDP), the buyer is responsible for import licences, duties, taxes and customs clearance in the destination country, and for making sure the goods are allowed to be imported there.

7. Suppliers (“Sell With Us”)

• Submitting a product does not guarantee listing. We list products at our discretion after verification and may remove a listing at any time.
• Suppliers confirm that their information is accurate, that they have the right to sell the products, and that the products are genuine and do not infringe any trademark or other rights.
• We buy from suppliers at agreed prices and sell to our customers in our own name. We do not charge suppliers any listing fee or commission unless agreed in writing. Listing does not create an agency, partnership or exclusive arrangement.
• Supplier contact details and cost prices are kept confidential and are not published.

8. Limitation of liability

To the extent permitted by law, we are not liable for indirect or consequential losses (such as loss of profit or business). Our total liability for any order is limited to the amount paid for the goods in that order.

9. Force majeure

We are not responsible for delays or failures caused by events beyond our reasonable control, such as natural disasters, strikes, transport disruption, government action or supplier shortages.

10. Governing law

These terms are governed by the laws of India. Courts at Amethi, Uttar Pradesh shall have exclusive jurisdiction over any dispute.
